By creating an account or using KoboSync at http://kobosync.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you (“Merchant”, “you”) and KoboSync (“we”, “our”, “us”).
KoboSync is a Commerce Operating System for Nigerian merchants that connects payment gateways (Paystack, Flutterwave, Monnify) to business tools (Google Sheets, Google Merchant Center, Xero, QuickBooks) and provides financial intelligence features including transaction reconciliation, VAT tracking, payout verification, product intelligence, and automated accounting.
Important: KoboSync is an automation and analytics tool. It is not a payment processor, a financial institution, an accounting firm, or a tax adviser. Nothing in the Service constitutes financial, legal, or tax advice.
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of the business whose data you connect to the Service.
KoboSync offers a free Starter plan and paid Pro and Enterprise plans. Paid plan fees are as displayed on the pricing page at the time of subscription and are billed monthly or annually via Paystack.
You agree not to use the Service to:
You retain full ownership of all transaction data, customer data, and business data that flows through the Service. KoboSync does not claim any intellectual property rights over your data.
By connecting third-party services (Google Workspace, Google Merchant Center, Paystack, Flutterwave, Monnify, Xero, QuickBooks, Mono, Okra), you represent that you possess the authority to grant KoboSync access to the connected accounts. Your use of those services remains governed by their respective terms of service.
Google Merchant Center & Ad Policy: KoboSync is not responsible for any account suspensions, merchant warnings, or policy violations enforced by Google as a result of synced data. While we strive for real-time synchronization, KoboSync does not guarantee uninterrupted or error-free operation of the Google Merchant API bridging. You remain ultimately responsible for verifying the accuracy of your product listings, pricing, and inventory within your Google Merchant Center console.
You are responsible for ensuring that the data you configure KoboSync to process (including customer email addresses received via webhooks) has been collected in compliance with applicable data protection law, including obtaining any necessary consents from your customers.
Your payment gateway API keys are encrypted at rest in our database. You acknowledge that connecting a live API key grants KoboSync the ability to receive webhook events from that gateway on your behalf.
You must notify us immediately at legal@kobosync.com if you believe any of your API keys or KoboSync credentials have been compromised.
We target 99.5% monthly uptime for the Service, excluding scheduled maintenance windows (of which we will give at least 24 hours' notice) and events outside our reasonable control.
The Service is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by applicable Nigerian law, KoboSync's total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to KoboSync in the 12 months preceding the claim.
KoboSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, or loss of data, even if we have been advised of the possibility of such damages.
In particular, KoboSync is not liable for: errors in financial data resulting from incorrect webhook payloads sent by payment gateways; discrepancies between data logged by the Service and your actual tax liability; or any losses arising from unauthorised access to your account where such access was facilitated by your failure to maintain credential security.
You agree to indemnify and hold harmless KoboSync and its officers, employees, and contractors from any claim, demand, loss, or damages, including reasonable legal fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account immediately if you breach these Terms, if we are required to do so by law, or if we have reasonable grounds to believe your account is being used fraudulently.
Upon termination, your access to the Service will cease. We will retain your data in accordance with our Privacy Policy. You may request an export of your transaction data within 30 days of termination.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004), with the seat of arbitration in Lagos, Nigeria.
We may update these Terms. We will notify you of material changes by email and by a prominent notice on the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance.
